1. Definitions
“We,” “Us,” “Our,” refers to Pearl Lemon Web Canada, a part of the Pearl Lemon Group.
“You,” “Client,” “User,” refers to anyone who uses our website or enters into a service agreement with us.
“Services” means website design, development, hosting, maintenance, consulting, and any other offering by Pearl Lemon Web.
2. Acceptance
Using this website or hiring us to perform work means you fully accept these terms. If you’re entering into an agreement on behalf of a company or entity, you confirm that you have the authority to do so.
3. Intellectual Property
Everything we produce—including code, graphics, layouts, and written content—is owned by Pearl Lemon Web until final payment is made. Once paid in full, rights to the project are transferred to the client unless otherwise stated in writing.
You do not have rights to reuse or repurpose any drafts, mockups, or unapproved materials we created but didn’t use in your final project.
4. Pricing and Payments
Quotes are based on project requirements discussed during discovery. Payment terms will be outlined in your service agreement.
Unless otherwise stated:
- A 50% deposit is required to begin work.
- The remaining 50% is due prior to final delivery or site launch.
- Late payments may result in suspension of work or removal of the website from public access.
- Hosting, maintenance, and support plans are billed monthly or annually in advance.
5. Refund Policy
All deposits are non-refundable. If you cancel a project after work begins, you’re responsible for all hours spent up to cancellation. Refunds for prepaid retainers, support, or hosting will be evaluated case by case, but we don’t offer refunds for time already allocated or used.
6. Confidentiality
We treat all project-related materials as confidential and do not share your data, files, or access credentials with anyone outside the team working on your project. You agree to do the same with our internal processes, pricing, and communication.
7. Client Review
You’ll have the opportunity to review deliverables at key milestones. We expect feedback within a reasonable timeframe. Delays in feedback may delay delivery timelines. You are responsible for final proofreading and approval.
Once you approve a deliverable or milestone, any further changes may be billed as additional work.
8. User-Generated Content
If your website includes functionality for users to post content (e.g., blog comments, product reviews), you’re solely responsible for moderating that content and ensuring it complies with applicable laws. We do not accept liability for content posted by third parties.
9. Acceptable Use Policy
You agree not to use our website or services to:
- Break any laws
- Distribute spam or malware
- Harass, abuse, or harm others
- Attempt unauthorized access to any system or network
- Violate third-party copyrights or trademarks
We reserve the right to restrict or remove access to our services if we believe your use violates these terms.
10. Account Termination
If you misuse our services or violate this agreement, we may terminate your access—temporarily or permanently—without notice. No refunds will be given in the case of termination due to misconduct.
11. Termination of Services
Either party may terminate an active project or service agreement with written notice. You are responsible for paying for work completed up to the date of termination. We may terminate a project if there’s lack of communication, missed payments, or consistent delays from your side.
12. Charges
Any scope changes, third-party plugin licensing, content writing, or additional services not included in the original agreement will result in additional charges. We will notify you before any extra charges are added.
13. Indemnification
You agree to indemnify and hold Pearl Lemon Web harmless from any legal claims, damages, or liabilities arising from your use of the website, violation of these terms, or misuse of services.
14. Limitation of Liability
We are not responsible for:
- Loss of revenue, business, or opportunities
- Downtime or technical issues caused by third parties
- Client error, misuse of tools, or failed maintenance
- Security issues due to outdated plugins or non-compliance with our update recommendations
Our total liability will never exceed the amount you’ve paid us in the last 12 months.
15. Disclaimers
We do not make guarantees about search engine rankings, sales, or traffic improvements. Your results depend on factors outside our control, including your content, market demand, and what you do after launch.
16. External Links
We may link to external websites. We are not responsible for their content, practices, or accuracy. Use them at your own risk.
17. Privacy Policy
Your privacy matters. Read our Privacy Policy for details on what we collect, how we use it, and how we protect your data.
18. Dispute Resolution
If a disagreement arises, we’ll first try to resolve it informally. If that fails, disputes must be settled through arbitration in Ottawa, Ontario, under Canadian law. You waive the right to join a class action against us.

These terms are governed by the laws of Ontario, Canada. Any legal action must take place in a court located within Ontario.
